Terms of Service

1. Agreement to these Terms
These Terms of Service ("Terms") govern your access to and use of the Ambassy website and application (together, the "Service"), operated by Deflect LLC ("Ambassy", "we", "us"). By installing or using the Service, you agree to these Terms. If you are using the Service on behalf of a business, you agree on its behalf. If you do not agree, do not use the Service.
2. The Service
Ambassy is a Wix App Market application that helps a merchant run affiliate and customer-referral programs — including tracking links, coupons, automatic attribution of referred sales across Wix Stores and Wix Bookings, commission management, and payout orchestration. Features and availability may change as the Service evolves.
3. Accounts and eligibility
You are responsible for the accuracy of the information you provide and for activity that occurs under your account. You must comply with the Wix platform terms in addition to these Terms. The Service is intended for business use, not for consumers.
4. Acceptable use
You agree not to misuse the Service. In particular, you agree not to:
- Use the Service for any unlawful purpose or in violation of the rights of others.
- Use the Service to facilitate fraudulent, deceptive, or abusive affiliate or referral activity.
- Attempt to disrupt, overload, reverse-engineer, or gain unauthorized access to the Service or its underlying systems.
- Misuse another person's personal information obtained through the Service, or use the Service in a way that causes you to breach your own privacy or data-protection obligations to your affiliates and customers.
We may suspend or terminate access for violations of this section.
5. Your responsibilities as a merchant
You are the operator of your own affiliate and referral program. You are responsible for the terms you offer your affiliates, the commission rates you set, the accuracy of the program information you publish, and your own compliance with applicable law — including consumer-protection, advertising, marketing, privacy, and tax rules that apply to running a referral program in your jurisdiction.
With respect to the personal information of your affiliates and customers processed through the Service, you act as the data controller and Ambassy acts as your processor. You are responsible for having a lawful basis to collect and process that information and for honoring the privacy rights of the individuals involved.
6. Fees and billing
Ambassy is offered on a flat monthly fee. We never charge a percentage of your sales — there is no revenue share or success fee at any plan. Billing is handled through the Wix Billing System, subject to Wix's billing terms. Specific prices and plan details are presented at sign-up and may be updated with notice. Except as required by law or expressly stated, fees are non-refundable.
7. Payouts, funds, and taxes
Ambassy orchestrates affiliate payouts on rails that the merchant funds and controls — such as the merchant's own connected PayPal account or store credit issued through Wix. Ambassy does not hold, custody, or move merchant or affiliate funds and does not act as a payment intermediary or money transmitter. The app only sends payout instructions on the rails you fund and control.
You are the payer of record for the commissions you pay. You are responsible for funding payouts, for any fees charged by a payout provider, and for meeting your own tax and reporting obligations. Buyer payments for your orders are processed by Wix, not by us; the app never sees or stores payment card data.
Where you enable US tax handling, Ambassy can generate tax-form summaries (such as 1099 summaries) to help you meet your filing obligations. These are summaries to assist you — they are not filed forms, and Ambassy does not file them with any tax authority or furnish them on your behalf. Ambassy does not withhold taxes and does not provide tax or legal advice; consult your own advisor.
8. Third-party services
The Service depends on and integrates with third-party services — including Wix, and, depending on your configuration, PayPal and email delivery. Your use of those services is governed by their own terms and policies, and Ambassy is not responsible for their acts or omissions. Availability of the Service may depend on the availability of those third parties.
9. Intellectual property
The Service, including its software, design, and content, is owned by Deflect LLC or its licensors and is protected by applicable law. Subject to these Terms, you are granted a limited, non-exclusive, non-transferable right to use the Service while your subscription is active. These Terms do not grant you any ownership rights in the Service. You retain ownership of your own data.
10. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted or error-free, or that attribution will capture every referral in all circumstances.
11. Limitation of liability
To the maximum extent permitted by law, Deflect LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any lost profits, revenues, or data, arising from or related to your use of the Service. Our total liability for any claim is limited to the amount you paid for the Service in the twelve months before the event giving rise to the claim.
12. Indemnification
You agree to indemnify and hold harmless Deflect LLC from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Service, your affiliate or referral program, your content, or your breach of these Terms or of applicable law.
13. Termination
You may stop using the Service at any time by uninstalling the app. We may suspend or terminate access if you breach these Terms, if required by law or platform policy, or if continuing to provide the Service becomes impractical. On termination, your right to use the Service ends; sections that by their nature should survive (such as fees owed, disclaimers, limitation of liability, and indemnification) will survive.
14. Changes to these Terms
We may update these Terms from time to time. Material changes will be reflected by updating the date below and, where appropriate, by additional notice. Continued use after changes take effect constitutes acceptance.
15. Dispute resolution — binding arbitration and class-action waiver
PLEASE READ THIS SECTION CAREFULLY — IT AFFECTS YOUR LEGAL RIGHTS. Except for the excluded claims below, you and Ambassy agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by BINDING INDIVIDUAL ARBITRATION rather than in court.
The arbitration will be administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules then in effect, and judgment on the award may be entered in any court of competent jurisdiction. The seat and location of the arbitration will be the Commonwealth of Virginia, United States, unless you and Ambassy agree otherwise; the arbitrator may allow the proceeding to be conducted by written submissions, telephone, or video conference.
CLASS-ACTION WAIVER. All disputes will be resolved only on an INDIVIDUAL basis. You and Ambassy each waive any right to bring or participate in a class, collective, consolidated, or representative action, and the arbitrator may not consolidate more than one party's claims or preside over any form of a class or representative proceeding.
JURY-TRIAL WAIVER. To the extent any dispute proceeds in court rather than arbitration, you and Ambassy each waive any right to a trial by jury.
Excluded claims. Either party may still (a) bring an individual claim in small-claims court, and (b) seek injunctive or other equitable relief in court to protect its intellectual property or confidential information. Nothing in this section prevents either party from seeking those remedies.
Severability. If the class-action waiver is found unenforceable as to a particular claim, that claim (and only that claim) will be severed from arbitration and may proceed in the courts identified in Section 16; the remainder of this section will stay in force.
16. Governing law, venue, and contact
These Terms are governed by the laws of the Commonwealth of Virginia, United States, without regard to conflict-of-laws rules.
For any dispute not subject to arbitration under Section 15, you and Ambassy agree that it will be brought exclusively in the state or federal courts located in the Commonwealth of Virginia, United States, and each party consents to the personal jurisdiction and venue of those courts.
